1. 1. Overview

   This End-User License Agreement ("Agreement") is entered into by and between Meteorsoft Sdn. Bhd. ("Licensor"), and the end-user ("Licensee"). This Agreement governs the use of the software "AutoPowerSuite" (referred to as "APS").

   This agreement applies to the APS (AutoPowerSuite) software that is installed on your device, or acquired from a retailer and installed by you, the media on which you received the software (if any), any fonts, icons, images or sound files included with the software, and also any Meteorsoft Sdn. Bhd. updates, upgrades, supplements or services for the software, unless other terms come with them. If this agreement contains terms regarding a feature or service not available on your device, then those terms do not apply.

2. 2. License Grant

   1. The software is licensed, not sold. Under this agreement, we grant you the right to install (if you acquired the software from a retailer) and run one instance on your device (the licensed device), for use by one person at a time. Updating or upgrading from non-genuine software with software from Meteorsoft Sdn. Bhd. or authorized sources does not make your original version or the updated/upgraded version genuine, and in that situation you do not have a license to use the software.
   2. Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, non-transferable, and revocable license to use APS on a concurrent usage basis.
   3. Each license is issued for an individual user within Licensee's company. The license is a one-time charge per individual user and is valid for the lifetime of the user.
   4. Licensee is required to pay an annual maintenance and upgrade fee, equivalent to 15% of the initial license cost, to receive continued support, maintenance, and software upgrades.

3. 3. Use Rights and Restrictions

   1. Licensee shall not, directly or indirectly, redistribute, sublicense, lease, sell, modify, reverse engineer, or create derivative works based on APS.
   2. Licensee shall not attempt to circumvent any technological measures implemented by Licensor to protect APS.
   3. Meteorsoft Sdn. Bhd. reserve all rights (such as rights under intellectual property laws) not expressly granted in this agreement. For example, this license does not give you any right to, and you may not:
      1. use or virtualize features of the software separately;
      2. publish, copy, rent, lease, or lend the software;
      3. transfer the software (except as permitted by this agreement);
      4. ork around any technical restrictions or limitations in the software;
      5. reverse engineer, decompile, or disassemble the software, or attempt to do so, except if the laws where you live (or if a business, where your principal place of business is located) permit this even when this agreement does not. In that case, you may do only what your law allows;

4. 4. Concurrent Usage

   1. Licenses are granted for concurrent usage only. Licensee shall implement appropriate measures to ensure that the number of simultaneous users does not exceed the number of purchased licenses.
   2. Use in a virtualized environment. This license allows you to install only one instance of the software for use on one device, whether that device is physical or virtual. If you want to use the software on more than one virtual device, you must obtain a separate license for each instance.
   3. Remote access. You may access and use the software installed on the licensed device from another device using remote access technologies, so long as the software installed on the licensed device is not being used by another user simultaneously. Other users, at different times, may access the licensed device from another device using remote access technologies, but only on devices separately licensed to run the same or higher edition of this software.
   4. Remote assistance. You may use remote assistance technologies to share an active session without obtaining any additional licenses for the software. Remote assistance allows one user to connect directly to another user's device, usually to correct problems.

5. 5. Intellectual Property

   1. All title and copyrights in and to APS, including but not limited to any images, text, and "AutoPowerSuite" are owned by Meteorsoft Sdn. Bhd.
   2. APS and all related intellectual property rights are and shall remain the exclusive property of Licensor.
   3. Licensee agrees not to remove, alter, or obscure any proprietary notices, watermarks, or other identification included in or on APS.

6. 6. Software Updates and Support

   1. Licensor may, at its sole discretion, provide updates, bug fixes, or support for APS. Such updates shall be considered part of the software and subject to the terms of this Agreement.
   2. Licensor reserves the right to discontinue support for older versions of APS after providing reasonable notice to Licensee.
   3. The software periodically checks for software updates, and downloads and installs them for you. You may obtain updates only from Meteorsoft Sdn. Bhd. or authorized sources, and by accepting this agreement, you agree to receive these types of automatic updates without any additional notice.

7. 7. Privacy; Consent to Use of Data

   Your privacy is important to us. Some of the software features send or receive information when using those features. Many of these features can be switched off in the user interface, or you can choose not to use them. Device ID must be collected for identification and verification purpose. By accepting this agreement and using the software you agree that Meteorsoft Sdn. Bhd. may collect, use, and disclose the information.

8. 8. Authorized Software and Activation

   You are authorized to use this software only if you are properly licensed and the software has been properly activated by authorized personnel or by other authorized method. When you connect to the Internet while using the software, the software will automatically contact Meteorsoft Sdn. Bhd. or its affiliate to confirm the software is genuine. You can also activate the software manually by Internet or telephone. In either case, transmission of certain information will occur, and Internet, telephone and SMS service charges may apply.

9. 9. Networks, data and Internet usage

   Some features of the software and services accessed through the software may require your device to access the Internet. Your access and usage (including charges) may be subject to the terms of your cellular or internet provider agreement. Certain features of the software may help you access the Internet more efficiently, but the software's usage calculations may be different from your service provider's measurements. You are always responsible for (i) understanding and complying with the terms of your own plans and agreements, and (ii) any issues arising from using or accessing networks, including public/open networks. You may use the software to connect to networks, and to share access information about those networks, only if you have permission to do so.

10. 10. Changes to Agreement

    1. Meteorsoft Sdn. Bhd. reserves the right, at its sole discretion, to modify or replace this Agreement at any time.
    2. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Meteorsoft Sdn. Bhd.
    3. By continuing to access or use the software after any revisions become effective, users agree to be bound by the revised terms. If users do not agree to the new terms, users are no longer authorized to use the software.

11. 11. Termination

    1. This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term herein.
    2. Upon termination, Licensee shall immediately cease all use of APS and destroy or return all copies of APS in its possession or control.

12. 12. Governing Law and Dispute Resolution

    1. This Agreement shall be governed by and construed in accordance with the laws of Malaysia.
    2. Any disputes arising out of or in connection with this Agreement shall be resolved through arbitration in accordance with the rules of the Malaysian Arbitration Association.

By installing or using APS, Licensee acknowledges and agrees to be bound by the terms and conditions of this Agreement.
